1. Acceptance of Terms

By accessing or using the Opterapro platform, website, or services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Services

Opterapro provides an all-in-one AI business growth platform, including CRM software, automation tools, AI voice agents, and managed social media marketing services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts and Responsibilities

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Payment Terms and Subscriptions

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually). By providing a payment method, you expressly authorize us to charge the applicable fees to said payment method. All payments are non-refundable unless otherwise explicitly stated in writing.

5. Social Media Marketing & Agency Services

If you engage Opterapro for managed social media or marketing services, the following additional terms apply:

  • Content Approval: You are responsible for reviewing and approving content in a timely manner. Delays in approval may affect posting schedules.
  • Platform Rules: We operate in compliance with third-party platform rules (e.g., Facebook, Instagram, LinkedIn). We are not responsible for account suspensions, shadowbans, or algorithmic changes imposed by these platforms.
  • No Guarantee of Results: While we employ industry best practices, we do not guarantee specific metrics, ROI, follower growth, or sales conversions resulting from our marketing efforts.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Opterapro and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Opterapro.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OPTERAPRO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Opterapro makes no warranty that (i) the Service will meet your requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, or (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

8. Limitation of Liability

IN NO EVENT SHALL OPTERAPRO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

9. Indemnification

You agree to defend, indemnify and hold harmless Opterapro and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to attorney's fees, resulting from or arising out of your use and access of the Service, by you or any person using your account and password, a breach of these Terms, or Content posted on the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
